Stock Exposures LICENSING TERMS & CONDITIONS
END-USER LICENSE AGREEMENT (EULA)
By downloading any image or material from our website, you hereby agree
to the following terms and conditions as outlined herein, and as listed
elsewhere on our website:
This agreement is made by and
between Stock Exposures (otherwise listed herein as You or Your) who
creates an account for the right to access, acquire, and use Materials
from this website. Stock Exposures hereby represents that it owns all
rights and copyrights to all materials on our website, and all rights
and copyrights to said website and materials shall remain the exclusive
property, right and control of and under Stock Exposures and
"Materials" from our website will constitute and be defined as any
photo, image, design, or layout represented on the Stock Exposures
website. By downloading any Materials from Stock Exposures you are
asserting your declaration that you have read, understood, and agreed
to all terms and conditions listed in this Agreement, and otherwise
identified on our website.
Terms of Use and Conditions as Defined Below: Standard Royalty-Free License
A. User's Rights to Materials from Stock Exposures. You agree to
access, purchase, and use our Materials as follows:
- These Terms and Conditions constitute a legal Agreement between You and Stock Exposures.
- Stock
Exposures.com grants You a nonexclusive, nontransferable license to
download, use, modify, publish, and display our Materials according to
the defined Terms and Conditions of this Agreement.
- You
may access, purchase, and use the materials downloaded from Stock
Exposures.com subject to these Terms and Conditions in the following
manner:
- a. In the development and creation of your business presence and entity.
- b.
As part of an offline presentation, meaning in menus, magazines, in
books, on book covers as part of the cover’s design, and newspapers.
- c.
In the development and creation of marketing, promotional, or
advertising materials, including newsletters, mailers, print ads,
packaging, and fliers.
- d.
As part of office presentation and layout for your business, in other
words, for decor in an office, lobby, retail store, or public area.
- e.
In a PowerPoint presentation, however, use of our Materials in this
medium must include an explicit statement in an easily identifiable
location in this presentation noting that "Some images contained in
this presentation are the copyrighted property of Stock Exposures. As
such, these images are being used under a license from said entities,
and may not be copied or downloaded without explicit permission from
Stock Exposures."
- f. As
part of a design element of a website, video, film, television
broadcast, CD-Rom cover, or video game. However, you may not, under
any circumstances use the materials from our website in a Website
template or any template or design sold individually or as part of an
archive or catalog collection, or an automated shopping system, under
any circumstances. You MAY however use our photos in client websites
that are NOT distributed through an archive or automatic system.
B.
User's Restrictions on the Use of Stock Exposures Materials. You agree
not to access, purchase, or use our Materials in any of the following
manners:
- You
may not at any time share, sell, give, or allow anyone to use your
username/password, nor access your account for any reason.
- You may not distribute, share, sell, or give away any of our Materials at any time, for any reason whatsoever.
- You
may not distribute our Materials electronically or in hard copy, except
as specifically outlined in the "User's Rights to Materials from Stock
Exposures" section of this Agreement.
- You
may not use any of the Materials downloaded or obtained from our site
in a Website template or any template or design sold individually or as
part of an archive or catalog collection, or an automated shopping
system, under any circumstances. You MAY however use our photos in
client websites that are NOT distributed through an archive or
automatic system.
- You
may not allow or authorize any third party to use the Materials for any
purpose at any time or resell, sublicense, or otherwise make available
the Materials for use or distribution separately or detached from a
product or Web page.
- You
may not use any download software, internet accelerators, or other
similar software or automated programs to access or download any
materials from our website at any time.
- You
may not under any circumstances use Materials in connection with any
illegal, defamatory, obscene, immoral, or pornographic material.

Indemnification
You agree to indemnify, defend, and hold harmless Stock Exposures and
its officers, employees, shareholders, directors and suppliers against
all claims, liability, damages, costs and expenses, including
reasonable legal fees and expenses, arising out of or related to a
breach of this Agreement, the use of this site and the use or the
inability of use of any Image, your failure to abide by any restriction
regarding the use of an Image, or any claim by a third party related to
the use of an Image.

STOCK EXPOSURES PROVIDES THE WEBSITE AND IMAGES ON AN “AS IS” BASIS. WE
OFFER NO WARRANTY, EXPLICIT OR IMPLIED, REGARDING ANY IMAGES, THE
WEBSITE, THE ACCURACY OF ANY INFORMATION, OR ANY RIGHTS OR LICENSES
UNDER THIS AGREEMENT INCLUDING, WITHOUT LIMITATION, ANY IMPLIED
WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.
STOCK EXPOSURES DOES NOT REPRESENT OR WARRANT THAT THE WEBSITE OR THE
IMAGES WILL MEET YOUR REQUIREMENTS OR THAT THEIR USE WILL BE
UNINTERRUPTED OR ERROR FREE.
Extended Royalty-Free License
The extended royalty free license agreement allows you to use an image
purchased from Stock Exposures for additional uses that aren’t
permitted in the Standard license terms.
An extended license allows:
- Printed
items for resale - You can use the image on merchandise that you sell
such as posters, greeting cards, prints, postcards etc. up to a maximum
of 10,000 copies. If you exceed this limit you must purchase the
license again.
- Digital
items for resale - You may use the image on digital merchandise for
resale such as website templates, e-cards, document templates,
screensavers, or similar products up to a maximum of 10,000 items. If
you exceed this limit you must purchase the license again.
- Multi-seat
usage - You can share the image with an unlimited number of persons
WITHIN your organisation. You cannot share the file with anyone outside
your organisation.
- Large print runs - up to a maximum of 500,000 copies. If you exceed this limit you must purchase the license again.
An extended license does NOT allow:
- Resale of the original file - You cannot sell the original image or transfer ownership to a third party.
- Ownership - You do not own the original image. You own a license to use that image. The license is non-transferable.
- Distribution - You cannot distribute or share the file with anyone outside of your organisation.
- Business identity - any part of logo, trademark, service mark, business name etc.
Further restrictions:
Images may not be used:
- For unlawful or immoral purposes
- To spread hate or discrimination.
- For any illegal, defamatory, obscene or pornographic material.
When
you buy an image from Stock Exposures you are buying a license to use
that image. The copyright remains with the creator. You must not claim
that the image is your own. You must not sell the image or the license.
You must not share the image or make it available for download from a
website.

Indemnification
You agree to indemnify, defend, and hold harmless Stock Exposures and
its officers, employees, shareholders, directors and suppliers against
all claims, liability, damages, costs and expenses, including

breach of this Agreement, the use of this site and the use or the
inability of use of any Image, your failure to abide by any restriction
regarding the use of an Image, or any claim by a third party related to
the use of an Image.

IMAGES WILL MEET YOUR REQUIREMENTS OR THAT THEIR USE WILL BE
UNINTERRUPTED OR ERROR FREE.
STOCK EXPOSURES SHALL NOT BE LIABLE TO YOU OR TO ANY OTHER PERSON OR
ENTITY FOR ANY GENERAL, PUNITIVE, SPECIAL, INDIRECT, CONSEQUENTIAL OR
INCIDENTAL DAMAGES, OR LOST PROFITS OR ANY OTHER DAMAGES, COSTS OR
LOSSES ARISING OUT OF YOUR USE OF THE WEBSITE OR THE IMAGES.
Full Editorial License
A. User's Rights to Materials from Stock Exposures. You agree to access, purchase, and use our Materials as follows:

Editorial illustration in printed magazines and newspapers, or other periodicals.

Materials for Personal, Non-Commercial, Non-Editorial use and Test or sample use.
No images may be sublicensed, resold or otherwise made available for
use or distribution separately or detached from a product or web page.
Editorial licensed images may be used solely in editorial types of
publications.
You have the right to have the images reproduced by subcontractors,
provided that such subcontractors agree to abide by the restrictions of
this Agreement.
You
may alter, crop, manipulate and create derivative works of the images.
Your rights to the images are worldwide and perpetual. Stock Exposures
reserves all rights not expressly granted to You herein.
B. User's Restrictions on the Use of Stock Exposures Materials.
- Images
may only be used in an editorial manner, relating to events that are
newsworthy or of public interest, and may not be used for any
commercial, promotional, advertising or merchandising use.
- Images may not be used on any item/product for re-sale.
- Images may not be used as part of billboard, trade show or exhibit display.
- Images
may not be used in any defamatory, libelous or otherwise unlawful
manner, whether directly or in context or juxtaposition with specific
subject matter.
- You may not
sublicense or sell any of its rights under this Agreement, but You may
sell or license derivative works incorporating the images in accordance
with the permitted uses. You may not sell, license or distribute its
work in such a way that Your customers can extract or access the images
as a stand-alone file.
- Images shall not be incorporated into a logo, trademark or service mark.
- You may not post the images online in a downloadable format.
- The images may not be used in any illegal manner.
Photo Credits
The following photo credit must appear adjacent to the use of Images:
"[Photographer's Name]/Stock Exposures". In the case of omission of the
credit, You will lose all usage rights to the images obtained.
No Releases
Stock Exposures gives no rights and makes no warranties with regard to
the use of names, trademarks, logos, registered, unregistered or
copyrighted designs or works of art depicted in any images. Unless
otherwise agreed in writing, no model, property, team logo, trademark
or other releases are delivered by Stock Exposures in connection with
the delivery of images hereunder. Clarification

INDIRECT, CONSEQUENTIAL OR INCIDENTAL DAMAGES, OR LOST PROFITS OR ANY
OTHER DAMAGES, COSTS OR LOSSES ARISING OUT OF YOUR USE OF THE WEBSITE
OR THE IMAGES.
